IMPORTANT: These Terms apply to consumers purchasing Goods (food and beverage products) via our website. Nothing in these Terms excludes or limits any mandatory consumer rights. Where there is any conflict between these Terms and mandatory law, mandatory law prevails.

PART A — TERMS OF SERVICE

1. Definitions and Interpretation

1.1 "Business Day" means Monday to Friday excluding UK bank/public holidays.

1.2 "Consumer" has the meaning in section 2 (3) Consumer Rights Act 2015 ("CRA 2015").

1.3 "Goods" means the food and beverage products supplied by us.

1.4 "Website" means the online storefront operated by Elixir Oasis Ltd.

1.5 "Dispatch Confirmation" means our email confirming that the Goods have been dispatched.

1.6 References to legislation include amendments and re-enactments. Headings do not affect interpretation.

2. Information About Us and Contact

2.1 Trader identity and contact details are set out at the top of this document.

2.2 If you need to contact us about an order, refunds, allergens, or to exercise your legal rights, please email contact@elixiroasis.com with your order number and a clear description of the issue.

3. Contract Formation, Order Acceptance and Cancellations Pre-Dispatch

3.1 By placing an order, you make an offer to buy the Goods.

3.2 A binding contract is formed only when we send a Dispatch Confirmation.

3.3 We may decline or cancel any order before Dispatch Confirmation, including where:

  • (a) payment is not authorised;
  • (b) the Goods are unavailable;
  • (c) we identify a manifest pricing/description error;
  • (d) the delivery address is incomplete; or
  • (e) we reasonably suspect fraud or misuse.

3.4 If we cancel before Dispatch Confirmation, we will refund all sums paid using the original payment method.

4. Prices, Payment and Security

4.1 Prices are in GBP (£) and include VAT where applicable. Delivery charges are shown separately at checkout.

4.2 Payment is processed securely via our payment processor (e.g. Stripe). We do not store your full card details.

4.3 You agree not to use payment methods or accounts that you are not authorised to use.

4.4 We reserve the right to implement fraud-prevention checks and to refuse transactions that fail such checks.

5. Product Information, Images and Descriptions

5.1 We take reasonable care to ensure product descriptions, pricing and imagery are accurate.

5.2 Images are illustrative; colour and appearance may vary due to screen settings and batch variation.

5.3 If a description is materially incorrect, your statutory remedies under CRA 2015 apply (see section 9).

6. Food Safety, Ingredients and Allergens

6.1 Allergen and ingredient information is provided in product listings in accordance with the Food Information Regulations 2014.

6.2 You must review ingredient/allergen information before ordering. If you are unsure, contact us prior to purchase.

6.3 Our Goods may be produced/packed in environments that handle allergens. While we take appropriate precautions, we cannot guarantee the absence of cross-contamination.

6.4 Packaging and label information applying to the specific unit supplied at dispatch reflects the definitive ingredient statement for that unit. This does not reduce statutory rights where Goods are not as described at the time of purchase.

7. Delivery, Timeframes and Risk

7.1 Estimated delivery times shown at checkout are estimates and not guarantees.

7.2 Delivery will occur without undue delay and, unless otherwise agreed, no later than 30 days after the contract is formed (Consumer Contracts Regulations 2013).

7.3 Risk of loss/damage passes to you when you or a person you expressly nominate takes physical possession of the Goods (section 29 CRA 2015).

7.4 If you request delivery to a neighbour/concierge, you appoint that person to take possession on your behalf. Unattended "safe place" delivery is not treated as nomination unless expressly agreed in writing.

8. Cancellation Rights (Distance Selling) and Exceptions

8.1 Consumers may have a right to cancel within 14 days in certain distance contracts.

8.2 The 14-day cancellation right does not apply to:

  • (a) goods liable to deteriorate or expire rapidly; and/or
  • (b) sealed goods which are unsealed after delivery for health protection or hygiene reasons.

8.3 Where the cancellation right applies, you must notify us by email within the cancellation period and return Goods as required by law. Refunds will be processed within the statutory timeframe.

8.4 Where the cancellation right does not apply (e.g. Perishable Goods), change-of-mind returns are not accepted after dispatch.

9. Faulty Goods and Your Statutory Remedies (CRA 2015)

9.1 Under CRA 2015, Goods must be of satisfactory quality, fit for purpose and as described.

9.2 If Goods do not conform at delivery, you have statutory remedies including: short-term right to reject (where applicable), repair/replacement, price reduction and final right to reject, depending on the circumstances.

9.3 If you believe Goods are faulty, damaged, unsafe, incorrect or not as described, please contact us promptly with your order number and details.

9.4 Where evidence is reasonably required to investigate (e.g. photos of packaging and best-before date), we may request it. This request does not remove statutory rights; it enables timely resolution.

10. Limitation of Liability

10.1 Nothing in these Terms limits or excludes liability for:

  • (a) death or personal injury caused by negligence;
  • (b) fraud or fraudulent misrepresentation; or
  • (c) any matter that cannot lawfully be excluded.

10.2 Subject to 10.1, we are not liable for indirect or consequential loss, including loss of profit, business, goodwill or data.

10.3 This section does not affect statutory rights or remedies available under CRA 2015.

11. Intellectual Property and Website Use

11.1 Website content is owned by or licensed to Elixir Oasis Ltd.

11.2 You may use the Website for personal, non-commercial purposes. You must not scrape, copy, republish or exploit content commercially without permission.

11.3 We may suspend access where misuse or unlawful activity is suspected.

12. Force Majeure

12.1 We are not liable for delay or failure caused by events beyond our reasonable control including carrier disruption, adverse weather, industrial action, governmental action or supplier failure.

13. Governing Law and Jurisdiction

13.1 These Terms are governed by the laws of England and Wales.

13.2 Courts of England and Wales have jurisdiction, subject to mandatory consumer protection rules that may allow you to bring proceedings locally.

PART B – PRIVACY NOTICE (UK GDPR & Data Protection Act 2018)

This Privacy Notice explains how we collect, use and protect personal data. It is intended to meet transparency obligations under UK GDPR and the Data Protection Act 2018.

15. Categories of Personal Data We Collect

We may collect and process:

  • Transaction Data (delivery address, order history, payment confirmations)
  • Technical Data (IP address, device/browser data, usage metrics)
  • Marketing Preferences (opt-in status and communication preferences)

We do not intend to collect special category data.

16. Purposes and Lawful Bases

16.1 Contract (Article 6 (1)(b)) — to process and fulfil orders, deliver Goods, handle returns and customer service.

16.2 Legal obligation (Article 6 (1)(c)) — to retain transaction records for tax, accounting and audit.

16.3 Legitimate interests (Article 6 (1)(f)) — to maintain website security, prevent fraud and improve services, provided your interests/rights do not override ours.

16.4 Consent (Article 6 (1)(a)) — for marketing communications and non-essential cookies where required. You may withdraw consent at any time.

17. Sharing Data with Third Parties

We share personal data only as necessary with:

  • Payment processors (e.g. Stripe) — to process payments and prevent fraud.
  • Delivery carriers — to deliver orders and provide tracking.
  • Analytics providers (e.g. Google Analytics) — to understand website usage.
  • Email marketing providers (e.g. Mailchimp) — to send marketing where you have opted in.

Where providers act as processors, we require appropriate contractual protections consistent with UK GDPR.

18. Cookies and Analytics

18.1 We use essential cookies necessary for website operation.

18.2 We use analytics cookies where permitted to understand traffic and improve performance.

18.3 Where consent is required for non-essential cookies, we obtain consent via a cookie banner and you can change preferences at any time.

19. International Transfers

19.1 Some providers may process data outside the UK.

19.2 Where international transfers occur, we implement appropriate safeguards such as the UK International Data Transfer Agreement (IDTA) and/or the UK Addendum to the EU Standard Contractual Clauses, as applicable.

20. Data Security

20.1 We implement appropriate technical and organisational measures to protect personal data against unauthorised access, loss or misuse.

20.2 Access is restricted to personnel and service providers who need it for legitimate business purposes.

21. Retention

21.1 We retain personal data only as long as necessary.

21.2 Transaction/financial records are typically retained for 6 years to meet legal and accounting requirements.

21.3 Marketing data is retained until you withdraw consent or opt out.

21.4 Analytics data is retained in line with configuration settings (typically up to 26 months).

22. Your Rights

You have rights under UK GDPR including: access, rectification, erasure, restriction, portability, objection, and rights relating to automated decision-making. To exercise rights, email contact@elixiroasis.com.

23. Complaints

You may complain to the Information Commissioner's Office (ICO). We encourage you to contact us first so we can try to resolve concerns promptly.
